Proxy Voting Policies and Procedures
Janus Henderson seeks to vote proxies in the best interest of its clients. Janus Henderson has adopted certain policies and procedures which set forth its approach to proxy voting matters, including how proxy advisory firms are used and how material conflicts of interest are addressed. Those policies and procedures are included below.
Janus Henderson’s clients may retain proxy voting responsibility or delegate such responsibility to Janus Henderson. For Janus Henderson Funds (including Janus Investment Fund mutual funds, Janus Aspen Series VIT portfolios, Detroit Street Trust ETFs and Clayton Street Trust VIT portfolios), their Boards of Trustees have delegated to Janus Henderson Investors US LLC the authority to vote all proxies relating to a Fund's holdings in accordance with Janus Henderson Investors US LLC's proxy voting policy and procedures.
