Combination to form Henderson European Trust plc and members’ voluntary liquidation

Following the passing of the special resolution of the Company’s members on 4 July 2024, Henderson EuroTrust plc has completed its combination with Henderson European Focus Trust plc to form Henderson European Trust plc, and has entered members’ voluntary liquidation under the provisions of the Insolvency Act 1986.  

Derek Neil Hyslop and Richard Peter Barker, both licensed insolvency practitioners of Ernst & Young LLP, have been appointed as joint liquidators for this purpose.  Janus Henderson Investors and its subsidiary companies are no longer responsible for the management of this investment company.

  • On 14 March 2024, the Board of Directors of Henderson EuroTrust plc (the ‘Company’ or ‘HNE’) announced that it had reached heads of terms with Henderson European Focus Trust plc (‘HEFT’) on a combination of the two trusts which would form an enlarged, flagship, European investment trust (the ‘Combined Trust’).

    At general meetings held on 20 June 2024 and 4 July 2024, shareholders approved the combination and subsequent liquidation of the Company, respectively

  • All shareholders were offered the opportunity of a cash exit up to a total of 15% of the Company’s issued share capital and the roll-over into new HEFT shares.

    The price for the cash exit was 168.257098 pence per share and will be paid to eligible shareholders from 8 July 2024. New HEFT shares were credited to CREST accounts on 5 July 2024 and updated share certificates posted after 18 July 2024.

  • Yes, an interim dividend of 3.5p per share was paid to shareholders on the register at the close of business on 30 May 2024. The dividend was paid on 19 June 2024.

  • The Combined Trust intends to adopt a policy of paying interim and final dividends, with the aim of maintaining dividend levels and growing them when net income permits. However, total return will continue to be the primary focus of the Combined Trust.
