Members' voluntary liquidation of Henderson Opportunities Trust plc

Following the passing of the special resolutions of the Company’s members on 14 March 2025, the scheme of reconstruction offering shareholders a cash exit or to roll over their investment to the Janus Henderson UK Equity Income & Growth Fund became effective and the Company was placed into members’ voluntary liquidation under the provisions of the Insolvency Act 1986.

Derek Hyslop and Richard Barker of Ernst & Young LLP, both licensed insolvency practitioners, have been appointed as joint liquidators for this purpose.

  • The Board proposed a scheme of reconstruction offering shareholders the choice of rolling over their investment in a vehicle which offers a similar strategy or a cash exit. Under the proposals, shareholders were offered, in respect of the whole or part of their shareholding in HOT:

    • a roll-over of their investment at residual net asset value into the Janus Henderson UK Equity Income & Growth Fund (‘the OEIC Sub-Fund’), receiving either I Class OEIC shares (available to corporate investors, i.e. companies, corporate nominees, custodian banks, fund supermarkets and fund platforms) or E Class OEIC shares (available to individual investors who hold their shares directly and where no bundled commission payments are made); or
    • to receive their entitlement upon the winding up of the Company in cash (‘the cash option’).

    Shareholders approved the scheme of reconstruction at the general meeting held on 21 February 2025 and the Company was placed into members’ voluntary liquidation, and the scheme became effective, on 14 March 2025.

  • Two interim dividends were declared prior to the liquidation: a fourth interim dividend in respect of the financial year to 31 October 2024 of 2.6 pence per share and a first interim dividend in respect of the quarter from 1 November 2024 to 31 January 2025 in the amount of 1.5 pence per share. These dividends were paid on 11 March 2025 to shareholders on the register of members at the close of business on 21 February 2025. The shares traded ex-dividend on 20 February 2025.

  • Shareholders with a registered address, or those generally resident, outside of the UK, or who were otherwise untraceable, and who took no action, automatically received the cash option. Any cash entitlements not paid out to untraceable shareholders are held by the liquidators (see above for the liquidators’ contact details, email: HOT@parthenon.ey.com).

    UK shareholders who took no action were automatically rolled over to the Janus Henderson UK Equity Income & Growth Fund. These shareholders were issued either I Class OEIC shares or E Class OEIC shares. A welcome letter has been sent to all shareholders detailing the number of Janus Henderson UK Equity Income & Growth Fund shares received, their account number and new contact details. Shareholders will also receive an account statement twice a year in August and February.

  • Payments to shareholders electing for the cash exit were made during the week commencing 17 March 2025. For questions relating to the receipt of your cash, contact the liquidators at: HOT@parthenon.ey.com

  • Shareholders holding their new OEIC Sub-Fund shares through a nominee account or share dealing platform such as Hargreaves Lansdown, AJ Bell, Interactive Investor, Halifax Share Dealing and similar, should contact their nominee or share dealing platform.

    Shareholders formerly holding their shares directly on the HOT register of members should contact the OEIC Sub-Fund administrator on 0800 832 832 or on support@janushenderson.com. Welcome letters to the new OEIC Sub-Fund shareholders were sent during the week commencing 17 March 2025. The letter set out the number of OEIC Sub-Fund shares each shareholder received, along with their new account number and contact details for the OEIC Sub-Fund administrator which replaces the HOT registrar.

  • Shareholders rolling over to the Janus Henderson UK Equity Income & Growth Fund will have received either:

    • I Class OEIC Shares which are available to corporate investors, i.e. companies, corporate nominees, custodian banks, fund supermarkets and fund platforms; or
    • E Class OEIC shares which are available to individual investors who hold their shares directly and where no bundled commission payments are made.
